About these terms
These terms of service are an agreement between you and Blue Ridge Banker LLC, a Virginia limited liability company (“we”, “us”), which runs The Market Terminal. They cover the website at themarketterminal.com, the terminal and the API behind it, and the emails we send (together, “the service”).
By creating an account, starting a subscription or using the service, you agree to these terms. Our Refund Policy is part of them. Our Privacy Policy explains how we handle personal information. If you use the service for a firm, you confirm that you may accept these terms for it, and “you” includes the firm. If you do not agree, do not use the service.
The service
The Market Terminal is a market research tool built for family offices and small wealth teams. It shows market data, economic data and public filings from other sources, and adds its own analysis: screens, factor and regime readings, signals, scores and summaries.
It is the research half of your workflow, not a book of record. It does not hold your positions, execute trades, or connect to any account you have at a broker, bank or custodian. The Portfolio Tracker only calculates figures from holdings and transactions you type in.
The service is in beta. Features change, and some may be withdrawn. Anything marked Soon on the Plans & Pricing page is not built or not live yet, and is not part of what you buy.
Not investment advice
Everything on the service is general information for research. None of it is investment, financial, legal, tax or accounting advice, and none of it is a recommendation, solicitation or offer to buy, sell or hold any security, fund, crypto-asset or other investment, or to follow any strategy.
The content is impersonal. The same pages, figures, signals and scores are published to everyone on a plan, and none of it is advice tailored to your circumstances, objectives or holdings; what the Portfolio Tracker calculates from the holdings you enter is arithmetic, not advice. Nothing on the service is a recommendation for any particular person.
We are not a broker-dealer or an investment adviser, and we do not act as one for you. Using the service does not create an advisory or fiduciary relationship between you and us.
Signals, regime calls, risk scores, factor readings, Leadership Scorecard scores and similar outputs are the result of stated methods applied to data. They can be wrong, and past patterns do not predict future results.
You are solely responsible for your investment decisions. Check anything you rely on against its original source and, where appropriate, talk to a licensed professional who knows your situation. Investing involves risk, including the loss of the money you invest.
Market data is provided as is
The service shows data from third-party and public sources, including Yahoo Finance, FRED, the U.S. Bureau of Labor Statistics, SEC EDGAR, the U.S. Treasury, CoinGecko, Hyperliquid and DefiLlama. We do not control those sources.
- Quotes are delayed, typically by up to 15 minutes depending on the exchange, and are never live. Some data is late by nature: 13F filings, for example, are due 45 days after the quarter they report.
- Data can be delayed, incomplete, revised or wrong, and a source can stop answering. We show a source and an as-of time where we can, but we do not guarantee that any data is accurate, complete, current or available.
- Do not use the service to make or time trading decisions, or as your record of prices, positions or values.
Some data is supplied under its source’s own terms, which may limit how it can be used. Where they do, those limits apply to you too.
Alerts are delayed and not guaranteed
Price alerts and watchlist notifications are a convenience, not a monitoring service.
- Alerts are checked at intervals against delayed quotes, not continuously: in your browser while a page of the terminal is open, and, for push notifications, on a schedule of about every 30 minutes during US market hours on weekdays.
- An alert can arrive late, fire after the price has already moved on, or not arrive at all: for example when no terminal page is open, your browser or device is off, notifications are blocked, or a data source or delivery service fails.
Never rely on an alert to protect a position or to place a trade on time.
Accounts
You must be at least 18 years old, and able to form a binding contract, to create an account or use the service.
Give accurate information when you sign up and keep your password to yourself. You are responsible for what happens under your account. If you think someone else has used it, tell us at blueridgebanker@themarketterminal.com.
An account is for one person. Do not share your sign-in with anyone, colleagues included; the Desk plan exists for teams.
We email you about your account: confirming your address, resetting your password, and notices about the service or these terms. The Market Intelligence Bulletin and 13F filing alerts are sent only if you subscribe and confirm your address, and every one carries an unsubscribe link.
Plans, prices and billing
Analyst is the free plan. Pro and Desk are paid plans, billed monthly or annually. Enterprise, for more than 10 seats, is sold under a separate written agreement. What each plan includes is listed on the Plans & Pricing page. List prices, in US dollars:
| Plan | Monthly | Annual | Notes |
|---|---|---|---|
| Analyst | $0 | — | Free plan. No card required. |
| Pro | $15 a month | $144 a year | 7-day free trial for a first subscription |
| Desk | $25 per seat a month | $240 per seat a year | 2 to 10 seats. No trial. |
| Enterprise | By agreement | By agreement | More than 10 seats |
The price, billing period and renewal terms shown on the Plans & Pricing page, and again on the checkout page before you pay, are the ones that apply to your subscription. Payments are taken by Stripe on its own checkout page; we never receive or store your full card number. If sales tax or a similar tax applies, it is shown at checkout.
Pro free trial
A first Pro subscription starts with a 7-day free trial. Your card is taken at checkout and nothing is charged during the trial. When the trial ends, Stripe charges the Pro price you chose, monthly or annual, and the subscription renews from then on, unless you cancel before the trial ends. There is one trial per customer: an account, or a Stripe customer, that has subscribed before does not get another.
Founding price
While the founding offer is open, a limited number of first Pro subscriptions are sold at a lower founding price, shown on the Plans & Pricing page. You keep the founding price for as long as that subscription stays active, renewals included. If the subscription ends for any reason, the founding price ends with it, and a new subscription is charged the price on offer when you subscribe again. Switching plan or billing period in the billing portal moves the subscription to the price shown there, which may not be the founding price.
Price changes
We may change prices for new subscriptions at any time. If we raise the price of an existing subscription, we will email you before the renewal it first applies to, so that you can cancel before then.
Failed payments
If a renewal payment fails, Stripe retries it for a period and your plan stays active meanwhile. If it still cannot be collected, the subscription ends and your account moves to the Analyst plan.
Refunds are covered by the Refund Policy.
Automatic renewal and cancellation
Paid plans renew automatically until you cancel. A monthly subscription renews every month and an annual subscription every year. At the start of each new period, the price then in effect for your subscription is charged to the payment method on file.
To cancel, sign in, open Account, choose Manage billing, and cancel in Stripe’s billing portal. The same portal lets you update your payment method and change plan or billing period. You can also email blueridgebanker@themarketterminal.com and we will cancel for you.
Cancelling stops future renewals. Your plan stays active until the end of the period you have paid for; then your account moves to the Analyst plan. Your saved data stays in your account, with the Analyst plan’s features and limits. If you cancel during the Pro free trial, you are not charged.
Desk plan seats
The Desk plan is priced per seat, with a minimum of 2 seats and a maximum of 10. The person who buys it (the plan holder) pays for every seat. The plan holder and the team’s admins can invite colleagues by email, revoke invitations and remove members.
- Each seat is for one named person. A seat may not be shared or rotated between people, though it may be reassigned when someone leaves the team.
- A member’s access to Desk plan features comes from the plan holder’s subscription. It ends when their seat is removed or when that subscription ends.
- Seats are added or removed in the billing portal. Lowering the seat count below the number of people on the team does not take effect in the terminal until members are removed first.
How seat changes are charged is set out in the Refund Policy.
Acceptable use
Use the service only for your own research or your organization’s, and only lawfully. Do not:
- scrape, crawl or copy the service or its data by automated means, or pull data from it in bulk, including by calling the API behind it outside the features we provide;
- redistribute, resell, sublicense or publish the data or the service, for example as a data feed, a database or part of another product;
- share your sign-in, or let more people use a Desk plan than it has seats;
- get around plan limits, paywalls, rate limits or security measures, or probe the service for vulnerabilities without our written permission;
- interfere with or overload the service, or introduce malicious code;
- use the service in breach of any law, including securities law, or of anyone else’s rights.
You may use reasonable excerpts of what you see and export (figures, charts, tables and CSV files) in your own work, including internal memos and materials for your investment committee or your clients, as long as they keep the source and as-of they carry, are not redistributed in bulk, and are not a substitute for the service or the original source.
Your content
What you put into the service stays yours: watchlists, portfolios and transactions and the notes on them, baskets, price alerts, chart drawings and layouts, and anything else you enter (“your content”).
You give us permission to store, copy, process and display your content only as needed to run the service for you: for example to sync it across your devices, check your alerts, or show a shared watchlist to your Desk plan team. You are responsible for your content and for having the right to use it.
You can download your watchlist and alerts from the Account page, and ask us for the rest, as the Privacy Policy explains. If you send us feedback or suggestions, we may use them without owing you anything.
Our content
The service, including its software, design, text, compilations, scores, signals and other analysis, belongs to us or our licensors and is protected by intellectual property law. While your account is in good standing, and subject to these terms, we give you a limited, personal, non-exclusive, non-transferable and revocable right to use the service for your research.
Market data belongs to its sources. The Market Terminal name and logo are ours. Third-party names, such as Yahoo Finance, FRED, EDGAR and TradingView, belong to their owners and are used only to identify sources and components.
Suspension and termination
You can stop using the service at any time. To close your account, email blueridgebanker@themarketterminal.com from the address on the account; we will cancel any paid plan and delete the account as the Privacy Policy describes.
We may suspend or close your account, or limit what it can do, if you break these terms, if a payment is disputed or unpaid, if it is needed to protect the service, other users or anyone else, or if the law requires it. Where it is reasonable to, we will tell you first and give you a chance to fix the problem. If we close your account because you broke these terms, fees already paid are not refunded. If we stop offering the service or a paid plan, the Refund Policy says what we refund.
The sections on investment advice, data, alerts, your content, our content, warranties, liability, indemnity and disputes continue to apply after your account ends.
Disclaimer of warranties
The service, including all data, content, signals and alerts, is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranty that the service will be uninterrupted, timely, secure or free of errors.
Some jurisdictions do not allow some of these exclusions, so some of them may not apply to you.
Limitation of liability
To the fullest extent the law allows:
- we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, trading or investment losses, lost revenue, lost data or business interruption, arising from or related to the service or these terms, even if we were told they were possible; and
- our total liability for all claims arising from or related to the service or these terms is limited to the amount you paid us for the service in the 12 months before the event that gave rise to the claim.
These limits apply whatever the legal theory, whether contract, tort (including negligence) or anything else, and even if a remedy fails of its essential purpose. They do not limit liability that the law does not allow to be limited. Some jurisdictions do not allow these limits, so some of them may not apply to you.
Indemnity
You will defend, indemnify and hold harmless Blue Ridge Banker LLC and its owners, officers, employees and contractors against any third-party claim, and the losses, liabilities and costs (including reasonable legal fees) that come with it, arising from your breach of these terms, your misuse of the service or its data, or your content. We will tell you about any such claim and may take part in the defense with counsel of our choice.
Governing law and disputes
These terms are governed by the laws of the Commonwealth of Virginia and applicable US federal law, without regard to conflict-of-laws rules.
Before starting a claim, email us at blueridgebanker@themarketterminal.com with a description of the problem, and give us 30 days to try to resolve it informally.
Any dispute that is not resolved informally will be decided only by the state or federal courts located in Virginia, and you and we consent to their personal jurisdiction. Either of us may instead bring an individual claim in small-claims court if it qualifies.
Changes
We may change the service at any time, including adding, changing or removing features.
We may also update these terms. The “Last updated” date at the top shows the current version. If a change is material, we will tell you by email or in the service before it takes effect. If you keep using the service after that, the updated terms apply to you. If you do not agree with them, stop using the service and cancel any paid plan before they take effect. A change to how disputes are resolved does not apply to a dispute we already know about.
General
These terms, with the Refund Policy, are the whole agreement between you and us about the service, and replace any earlier ones. If any part is found unenforceable, the rest stays in effect. If we do not enforce a part, we have not waived it. You may not transfer these terms or your account without our written consent; we may transfer them as part of a merger, acquisition or sale of assets. Neither of us is liable for a delay or failure caused by events beyond our reasonable control. We may send you notices at the email address on your account; send notices to us at the address below. These terms do not give rights to anyone else.
